Our services are provided on a professional consulting basis and are subject to the terms of individual service agreements executed between the Company and the Client.

User Eligibility

You must be at least 18 years of age to use our services or enter into any agreement with ProfitBoost LLC. By using our services, you represent and warrant that you have the legal capacity to enter into a binding contract and meet all eligibility requirements.

User Obligations

When using our website and services, you agree to:

Payment terms are specified in individual service agreements. Unless otherwise stated, all fees are due upon receipt of invoice. Late payments may be subject to interest charges and may result in suspension of services.

Confidentiality

Both parties acknowledge that during the course of our professional relationship, confidential information may be disclosed. Each party agrees to:

• Maintain the confidentiality of all proprietary and confidential information
• Use confidential information solely for the purpose of fulfilling obligations under the service agreement
• Not disclose confidential information to third parties without prior written consent
• Return or destroy all confidential information upon termination of the relationship

Limitation of Liability

To the fullest extent permitted by applicable law, ProfitBoost LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like that may be transmitted through our services by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the services

In no event shall our aggregate liability exceed the amount paid by you to ProfitBoost LLC in the twelve (12) months preceding the claim.

Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use our services will immediately cease.

Either party may terminate an active service agreement in accordance with the termination provisions specified in that agreement. Termination does not relieve you of any payment obligations for services already rendered.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and ProfitBoost LLC regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Waiver

No waiver by ProfitBoost LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
